据悉,三星工程公司和三星集团旗下三星重工今天(11月19日)告诉韩国证券交易所,由于股东反对,两家公司已经取消了价值25亿美元的并购交易。该交易原计划成为工程建设领域最大的并购交易之一,并将创建一个国际性的顶级工程、采购和建设提供商。
两家公司曾经表示,如果三星工程公司的回购成本超过4100亿韩元(3.696亿美元),或三星重工的回购成本超过9500亿韩元,双方将取消并购交易。两家公司的联合公告称,三星工程公司的股东希望出售价值7063亿韩元的股票,而三星重工的股东希望回购价值达到9235亿韩元。两家公司表示,在考虑市场状况和股东的意愿后,双方可能重新考虑合并。

Samsung Engineering and fellow Samsung Group unit, Samsung Heavy Industries told the Korea Exchange today that they have called off their $2.5 billion merger due to shareholder opposition. The deal would have been one of the largest in the engineering & construction sector, creating an international top-tier engineering, procurement and construction provider.
The two companies said that they could cancel the merger if the buyback costs exceeded 410 billion South Korean won ($369.6 million) for Samsung Engineering or won950 billion for Samsung Heavy Industries. The companies’ joint statement to the stock exchange said that Samsung Engineering shareholders wanted to sell shares worth won706.3 billion while Samsung Heavy Industries’ shareholders wanted a buyback worth won923.5 billion. The companies said they could reconsider the merger after taking into account the market situation and shareholder opinions.
